Terms of Use

1. Acceptance of Terms

By creating an account, starting a guest session, or otherwise using the Proxonyx Intelligence Platform ("Proxonyx", "the Service"), you agree to these Terms of Use and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

3. Description of Service

Proxonyx may route your queries through third-party large language models, artificial intelligence systems, and research services as part of the requested workflow to support analysis, retrieval, or image generation. The Service may compare, synthesize, and refine responses before returning them to you as reports, chat responses, or generated images. Proxonyx does not itself create the underlying AI models and is not responsible for their training data, biases, or limitations.

4. Guest Access, Free Trials, and Paid Plans

The Service may offer limited guest access without an account, a limited free trial for registered accounts, and paid subscription plans with expanded usage limits and features. Usage limits, available models, and available features may vary by plan and may change over time with notice as described in Section 24.

The no-sign-in preview includes one turn total per preview cookie, usable for research or image generation with available models. The essential preview cookie expires after 7 days. A turn is used when execution starts, including runs that are stopped or unsuccessful; invalid requests do not use a turn. Additional IP-based rate limits apply. Preview results are temporary, are not saved to an account, and expire with the preview. Sign up to continue after using the preview.

5. No Professional Advice

Outputs labeled as "Strategic Analysis," "Business Plan," "Executive Summary," "Deep Reasoning," or similar deliverables are AI-generated content for informational purposes only. They do not constitute legal, financial, medical, tax, engineering, or other professional advice. You are solely responsible for independently verifying accuracy before relying on or acting upon any output.

6. Acceptable Use

You agree not to use the Service to:

• Generate content that is illegal, sexually exploitative of minors, or that violates the acceptable-use policies of the underlying AI providers;
• Impersonate any person or entity, or misrepresent AI-generated content as human-created without disclosure where required by law;
• Attempt to circumvent content moderation, safety systems, or usage limits of the Service or any connected provider;
• Upload content you do not have the rights to use, or that infringes on third-party intellectual property or privacy rights;
• Reverse-engineer, scrape at scale, or attempt to extract the underlying models or proprietary orchestration logic of the Service;
• Interfere with or disrupt the Service, its infrastructure, rate limits, or other users' access to it;
• Use the Service to develop a directly competing product without our prior written consent.

7. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly at info@proxonyx.org of any unauthorized use or suspected security breach.

8. User Content and License

You retain ownership of the queries, instructions, files, and images you submit ("User Content"). By submitting User Content, you grant Proxonyx a limited, non-exclusive, worldwide license to use, reproduce, transmit, and process it solely to operate, maintain, and provide the Service to you, including transmitting it to third-party AI providers as described in our Privacy Policy. You represent that you have all rights necessary to submit your User Content and that it does not infringe any third party's rights.

9. AI-Generated Output

Subject to the rights of underlying third-party model providers and applicable law, we do not claim ownership of the output generated for you. Because AI-generated output may not be eligible for copyright protection in all jurisdictions, and because similar output may be generated for other users from similar prompts, we do not guarantee that any output is unique, non-infringing, or exclusively yours. You are responsible for independently confirming the legal status of any output before relying on it commercially.

10. Subscription Billing, Cancellation, and Refunds

Proxonyx Pro and other paid plans are recurring subscriptions billed at the price displayed at checkout, plus any applicable taxes, on a recurring basis (e.g., monthly) until canceled. By purchasing a subscription, you authorize Proxonyx and its payment processor, Stripe, to charge your selected payment method automatically at the start of each billing period until you cancel.

You may cancel at any time by logging in, selecting Manage subscription, and completing cancellation through the Stripe customer portal. Cancellation takes effect at the end of your current paid billing period. You will retain access to paid features until that period ends and will not be charged for the next period.

All subscription charges are final and non-refundable. Proxonyx does not provide refunds or credits for partial billing periods, unused subscription time, unused usage, accidental purchases, or failure to cancel before renewal, except where a refund is required by applicable law. Canceling a subscription does not retroactively refund charges already paid.

We may change subscription pricing or usage-credit pricing by providing notice before the change applies to a future renewal. Payment processing is provided by Stripe and is also subject to Stripe's applicable terms and policies.

11. Third-Party Providers

Your queries, attached files, and generated content are transmitted to third-party AI and research providers used by the Service to produce results. Each provider has its own terms, content policies, and independent safety and content-moderation systems, which may result in a request being refused, filtered, or flagged, including with a specific rejection reason returned by that provider. Proxonyx is not liable for the decisions, outputs, errors, downtime, or unavailability of third-party providers.

12. Intellectual Property

The Service, including its software, design, orchestration logic, and branding, is owned by Proxonyx and its licensors and is protected by intellectual property laws. Except for the limited rights expressly granted to you to use the Service, no other rights are granted. "Proxonyx" and associated logos are trademarks of their respective owner and may not be used without prior written permission.

13. Copyright Infringement Notices (DMCA)

If you believe content accessible through the Service infringes your copyright, send a notice to info@proxonyx.org including: identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a statement of good-faith belief that the use is unauthorized, a statement that the notice is accurate under penalty of perjury, and your physical or electronic signature. We will respond to valid notices in accordance with applicable law.

14. Termination

We may suspend or terminate your account at our discretion, including for violations of these Terms or the acceptable-use policies of our providers, without prior notice. You may stop using the Service, and delete your account at any time, as described in our Privacy Policy.

15. Disclaimer of Warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose, accuracy, reliability, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated output will be accurate or complete.

16. Limitation of Liability

To the maximum extent permitted by law, Proxonyx and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Service, including reliance on AI-generated content, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our aggregate liability for any claim relating to the Service is limited to the amount you paid us in the twelve months preceding the claim.

17. Indemnification

You agree to indemnify and hold Proxonyx and its operators harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, USA, without regard to its conflict-of-law principles, except where mandatory consumer-protection law in your jurisdiction requires otherwise. You agree that any dispute arising from these Terms or the Service that is not resolved informally will be subject to the exclusive jurisdiction of the state and federal courts located in Washington State. Any dispute will first be attempted to be resolved informally by contacting info@proxonyx.org.

19. Export Control and Sanctions Compliance

You may not use the Service if you are located in, or are a national of, a country subject to comprehensive trade sanctions, or if you are listed on any applicable restricted-party list. You agree to comply with all applicable export control and sanctions laws.

20. Force Majeure

Neither party is liable for any failure or delay in performance resulting from causes beyond its reasonable control, including outages of third-party AI providers, internet service disruptions, or acts of government.

21. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

22. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Proxonyx regarding the Service.

23. Electronic Communications

By using the Service, you consent to receive communications from us electronically, including by email and in-app notices, and agree that such communications satisfy any legal requirement that they be in writing.

24. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
